END-USER LICENSE AGREEMENT SERVER LICENSE FOR MICROSOFT BACKOFFICE SERVER 2000 IMPORTANT-READ CAREFULLY: This End-User License Agreement
("EULA") is a legal agreement between you (either an individual or
a single entity) and Microsoft Corporation for the Microsoft software product
identified above, which includes computer software and may include associated
media, printed materials, and "online" or electronic documentation
("Product"). An amendment
or addendum to this EULA may accompany the Product. YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA BY INSTALLING,
COPYING, OR OTHERWISE USING THE PRODUCT. IF YOU DO NOT AGREE, DO NOT INSTALL
OR USE THE PRODUCT; YOU MAY RETURN IT TO YOUR PLACE OF PURCHASE FOR A FULL
REFUND. The Product may contain the following software: * "Server Software" provides services or
functionality on your computer capable of running the Server Software
("Server"); * "Client Software" allows an electronic device
("Device") to access or utilize the Server Software. 1. GRANT OF
LICENSE. Microsoft grants you the following rights provided you comply with
all terms and conditions of this EULA: a. Installation--Server Software. You may install one copy
of each Server Software component of the Product on a single Server. You may
allocate the Server Software components of the Product among up to three
Servers ("MultiServer Configuration") provided that (i) you use the
BackOffice Server 2000 Setup feature to implement the MultiServer Configuration,
(ii) each of the Servers in the MultiServer Configuration are geographically
co-located and configured within the same Microsoft Windows 2000 Active
Directory Organizational Unit, (iii) each of the Server Software components
is only installed once in the MultiServer Configuration, and (iv) a separate
Windows 2000 Server license is in place for each Server in the MultiServer
Configuration (the Product contains only a single license for Windows 2000
Server). Client Software. Except as otherwise provided in Section 2
below, you may install the Client Software on any Device. a. b. Client
Access License ("CAL") Requirements. (i) General.
Except as otherwise provided below, you must acquire CALs in order to
access or otherwise utilize the services or functionality of the Server
Software, whether you use the Client Software or any other software to do
so. BackOffice Server 2000 CALs
authorize access and use of each of the Server Software components of the
Product that require a CAL. You may
also access and use individual Server Software components of the Product by
acquiring CALs for those individual Server Software components. (ii) Mode of Deployment.
You may deploy CALs for Microsoft Windows 2000 Server in either
"Per Seat" or "Per Server" mode. CALs for Microsoft BackOffice Server 2000,
Exchange 2000 Server, Host Integration Server 2000, Internet Security and
Acceleration Server 2000, SQL Server 2000 and Systems Management Server 2.0
may only be deployed in "Per Seat" mode. In "Per Seat" mode, you need a separate CAL for
each unique Device that accesses or utilizes the Server Software. If you choose "Per Seat" mode,
your choice is permanent. In "Per Server" mode, the maximum number of
Devices which may access or utilize the Server Software at a given point is
equal to the number of CALs that you acquire and designate for use
exclusively with that Server.
"Per Seat" mode CALs may also access Server Software running
in the Per Server Mode, provided the additional access is within that
Server's maximum licensed capacity.
You also have the one-time right to change your deployment of a
"Per Server" mode CAL to "Per Seat" mode, but then this
choice is permanent. (iii) Version Matching.
Any CAL must have the same version number as or later version number
than the corresponding version number of the Server Software being used. (iv) Administration.
You do not need a CAL for administration of the Server Software
(including remote administration), for up to two connections to the Server. c. Other Licenses. Your use of software
applications installed on the Server, or accessed through the Server Software
may require additional licenses -- please consult the license agreement
accompanying such software. d. Downgrades. Instead of installing and using a
particular Server Software component of the Product, you may install and use
one copy of an earlier version of that particular Server Software component
of the Product on a single Server.
Your use of such earlier version shall be governed by this EULA, and
your rights to use such earlier version shall terminate when you install the
particular Server Software component of the Product. e. Dual
Media. You may receive the software for the Product in more than one
medium. Regardless of the number of
media you receive, you are only authorized to use one medium to install and
use the Product as provided for in this EULA, and you may not loan, rent,
lease or otherwise transfer the remaining media, except as part of the
permanent transfer of the entirety of the Product as set forth in Section 6
below. f. Performance
or Benchmark Testing. You may not
disclose the results of any benchmark test of either the Server Software or
Client Software for SQL 2000 Server or Internet Security and Acceleration
Server 2000 to any third party without Microsoft's prior written approval. g. Reservation
of Rights. Microsoft reserves all
rights not expressly granted to you in this EULA. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS PERTINENT
TO SPECIFIC BACKOFFICE COMPONENTS. a. Microsoft
Windows 2000 Server. Processor
Limitation. The Windows 2000 Server Software may be used by no more than four
(4) processors of the Server at any one time. Windows 2000 Server CAL Requirements. You must acquire a separate BackOffice Server 2000 CAL or
Windows 2000 Server CAL for each Device that is used by an
"Authenticated User" or that uses "Windows 2000 Server
Services" regardless of what software you use. Terminal Services. In
addition to a CAL, you must acquire a Windows 2000 Server Terminal Services
Client Access License ("TS CAL") for each Device that uses
"Terminal Services." You do
not need to acquire a TS CAL to utilize Terminal Services for Devices running
a licensed copy of Windows 2000 Professional, nor do you need a TS CAL for
administration of the Windows 2000 Server Software (including remote
administration), for up to two connections to the Server. CALs and TS CALs that you acquire may be
used only in conjunction with your Windows 2000 Server Software. Definitions. * "Authenticated User" is a user who directly or
indirectly utilizes the Windows 2000 Server Integrated Sign-On Service or
receives credentials from the Windows 2000 Directory Services. * "Windows 2000 Server Services" include File
Services (accessing or managing files or disk storage), Printing Services (printing
to a printer managed by the Product), Remote Access Service (accessing the
Server from a remote location through a communications link, including a
virtual private network), and Terminal Services. * "Terminal Services" means (i) using the
terminal services feature of the Windows 2000 Server Software to enable
Devices to use software residing on the Server, or (ii) using other software
in conjunction with the Windows 2000 Server Software to provide similar
services. b. Microsoft
Exchange 2000 Server. Client
Software. You may install the Client
Software for Microsoft Exchange 2000 Server on any Device for which you have
acquired either a BackOffice Server 2000 CAL or Exchange 2000 Server
CAL. Limited Access by Other
Devices. Each BackOffice Server 2000
CAL or Exchange 2000 Server CAL you acquire for a Device may also be used by
the primary user of that Device ("Primary User") to enable access
or use of Microsoft Exchange 2000 Server software by any other Device that
the Primary User uses less than twenty percent (20%) of the Primary User's
total connection time. The term
"total connection time" means the total amount of time you use
Microsoft Client Software to access or otherwise use Microsoft Exchange 2000
Server software from a Device. Anonymous
Access. You do not need a CAL for
anonymous access to Microsoft Exchange 2000 Server software. Anonymous access occurs when an
Unauthenticated Device accesses information held in the Server without having
a mailbox or custom recipient object which identifies the Device. "Unauthenticated Device" means a
Device that (i) does not directly or
indirectly utilize the Windows 2000 Server Integrated Sign-On Service and
(ii) does not receive credentials from Windows 2000 Directory Services. Limited Use of Exchange 5.5 Server
Software. Microsoft Exchange Server
5.5 software may accompany the Microsoft Exchange 2000 Server software. In the event it does, you may install one
copy of the Exchange Server 5.5 software on the same server on which you
install the Exchange 2000 Server software solely for the purpose of enabling
the functioning of the Exchange 2000 Server software. This EULA supersedes any online end-user
license agreement contained in the Exchange Server 5.5 software and sets
forth your exclusive rights with respect to the Exchange Server 5.5
software. c. Microsoft SQL Server 2000. Client Software. You
may install the SQL Server 2000, Personal Edition on any Device for which you
have acquired either a BackOffice Server 2000 CAL or SQL Server 2000
CAL. Client Access. You do not need a Client Access License in
order for a Microsoft SQL Server to solely interact with another Server
running Microsoft SQL Server, Standard Edition or Microsoft SQL Server,
Enterprise Edition; a CAL is required for interactions among computers solely
running SQL Server 2000 Desktop. Note
Regarding Use of SQL Server Tools.
You must acquire a separate CAL for each Device that uses the Management
Tools, Books-Online, and Development Tools components of Microsoft SQL Server
(collectively, "Tools").
You may only use the Tools for internal use in conjunction with your
SQL Server 2000 Server Software. Note
Regarding the Use of Redistributable Components. In addition to the rights granted above, Microsoft grants you the
nonexclusive, royalty-free right to use, reproduce and distribute the
Microsoft SQL Server Desktop Engine ("MSDE") and the files listed
in the REDIST.TXT file (collectively referred to as "Redistributable
Code") provided that you comply with the Distribution Terms listed in
the REDIST.TXT file. If you choose to
redistribute MSDE, you also agree :
(i) that your Application shall not substantially duplicate the
capabilities of Microsoft Access or, in the reasonable opinion of Microsoft,
compete with same; and (ii) that unless your Application requires your
customers to license Microsoft Access in order to operate, you shall not
reproduce or use MSDE for commercial distribution in conjunction with a
general purpose word processing, spreadsheet or database management software
product, or an integrated work or product suite whose components include a
general purpose word processing, spreadsheet, or database management software
product except for the exclusive use of importing data to the various formats
supported by Microsoft Access. Note: A product that includes limited word
processing, spreadsheet or database components along with other components
which provide significant and primary value, such as an accounting product
with limited spreadsheet capability, is not considered to be a "general
purpose" product. Installation
Of SQL Server 2000 Server Software On Passive Fail-Over Server. If the SQL Server 2000 Server Software is
used in a clustered environment, you may use the SQL Server 2000 Server
Software on a temporary basis on a Server that is employed only for fail-over
support. d. Microsoft
Systems Management Server. Client
Access. You do not need a Client
Access License in order to solely execute Systems Management
Server-to-Systems Management Server communications that are solely managing a
third Device. You also do not need to
acquire a Client Access License for Microsoft SQL Server to use the
administration console or utilities provided with Systems Management Server
to access or otherwise utilize the services of Microsoft SQL Server. Client Software. You may install and use the Installer
component of the Client Software ("SMS Installer") only on Devices
within your organization and only for the purpose of creating installation
programs through the use of SMS Installer ("Setup Programs"). You
may also use and modify the source code designated as "Sample Code"
in the SAMPLES.TXT file for the sole purposes of designing, developing, and
testing your Setup Programs. You may
also install and use in object code form the Redistributable Components (as
defined below), along with any modifications you may make to the Sample Code,
only on Devices within your organization for a purpose other than creation of
Setup Programs, provided that you:
(i) reproduce and use the Redistributable Components only in
conjunction with or as part of a Setup Program; (ii) have a valid Client
Access License for any version of Microsoft Systems Management Server for
each Device that uses the Redistributable Components; and (iii) indemnify,
hold harmless, and defend Microsoft and its suppliers from an against any
claims or lawsuits, including attorneys' fees, that arise or result from the
use of your Setup Program or any software installed by your Setup Program. You do not have any other right to install
or use SMS Installer. Note Regarding
Software Metering, Logon Point, and Client Access Components. You may install and use the Software
Metering, Logon Point, and Client Access Point components of the Server
Software on any computer running a validly licensed copy of any version
Windows NT Server or Windows 2000 Server products within your
organization. Note Regarding Use of
the Redistributable Components. You
may reproduce and distribute the files listed in the REDIST.TXT file
(collectively referred to as "Redistributable Components"), along
with any modifications you may make to the Sample Code, provided that you
comply with the Distribution Terms listed in such REDIST.TXT file. Note that the Distribution Terms include,
among other conditions, terms similar to those described in subsections (i) -
(iii) of the Client Software note above.
e. Microsoft
Internet Security and Acceleration Server 2000. Client Access. You must
have either a BackOffice Server 2000 or Internet Security and Acceleration
Server 2000 CAL for each unique Device that accesses or uses the Internet
Security and Acceleration Server 2000 Server Software. f. Microsoft
Host Integration Server 2000. Client
Access. You do not need a Client
Access License for BackOffice Server 2000 or Host Integration Server 2000
("HIS") in order to access or utilize the following HIS services
solely as server-based processes: AFTP Client and Server, FTP-AFTP Gateway
Service, VSAM File Transfer Utility, Shared Folders Gateway Service, Host
Print Service, OLE DB Provider for AS/400 and VSAM, OLE DB Provider for DB2,
ODBC Driver for DB2, COM Transaction Integrator for CICS and IMS, Host
Security Integration Services, MSMQ-MQ Series Bridge, and NetView Integration
Services. Client Software. If you are
using the HIS 2000 Client Software to access a product other than HIS 2000,
you may only install and use the HIS Client Software on each Device to which
a valid BackOffice Server 2000 or HIS 2000 CAL has been dedicated. The 3270 and 5250 terminal emulation
applets ("Applets") of the HIS 2000 Client Software may be used by
only one user per licensed copy of the HIS 2000 Server Software. Licenses for
additional users must be acquired separately. Additionally, the Applets may
only be used to access or otherwise utilize the services of HIS 2000. Note Regarding Use of Host Security
Integration Feature. You may install and use the software identified as
"Windows NT Account Synchronization Service" and "Host Account
Cache" on any computer running a validly licensed copy of Windows NT
Server within your organization. Use
of Redistributable Software ("SDK Software"). If included, you may install and use
copies of the SDK Software on one or more computers located at your premises
solely for the purpose of building applications that work in conjunction with
the Server Software ("Applications"). You may modify the Sample
Code (identified in the "samples" directories) to design, develop,
and test your Applications, and may reproduce and use the Sample Code, as
modified, on one or more computers located at your premises. You may also reproduce and distribute the
Sample Code, along with any modifications you make thereto (for purposes of
this section, "modifications" shall mean enhancements to the
functionality of the Sample Code), and any other files that may be listed and
identified in a REDIST.TXT file as "redistributable" (collectively,
the "Redistributable Code") provided that you agree: (1) to distribute the Redistributable Code
in object code form and only in conjunction with your Application, which
Application adds significant and primary functionality to the Redistributable
Code; (2) not to use Microsoft's name, logo, or trademarks to market the
Application; (3) to include a valid copyright notice in your name on the
Application; (4) to indemnify, hold harmless, and defend Microsoft from and
against any claims or lawsuits, including attorney's fees, that arise or
result from the use or distribution of the Application; (5) to otherwise comply
with the terms of this EULA; and (6) that Microsoft reserves all rights not
expressly granted. g. Health
Monitor 2.1. Permitted Use. You may use Health Monitor 2.1 to (i)
monitor any Server on which a Server Software component of the Product is installed
as provided for in Section 1 above and (ii) monitor any Device to which you
have dedicated a BackOffice Server 2000 CAL.
Client Access. No CAL is
required for any Device used as the administrative console for Health Monitor
2.1 provided such Device is not itself being monitored by Health Monitor
2.1. h. Shared Fax Service and Shared Modem Service. Client Access. You must have a BackOffice Server 2000 CAL for each unique
Device that accesses or uses the Shared Fax Service and/or Shared Modem
Service Server Software. i. Microsoft FrontPage 2000. You may install and use the Microsoft FrontPage 2000 software
provided with the Product as provided for in the end-user license agreement
accompanying the Microsoft FrontPage 2000 software. j. Microsoft BackOffice Server. Note Regarding Use of Administrator Tools. You may install and use the integrated
BackOffice Server Management Console and related tools on any Device within
your organization for the sole purpose of administering Server Software and
Client Software components of the Product acquired in connection with the
Product. Conflicting Terms. The terms and conditions set forth in the
End-User License Agreement for Microsoft BackOffice Server in paper form and
in electronic form during the integrated setup program shall supercede the
terms and conditions contained in any license for the Server Software and
Client Software components of the Product which may be presented to you in
electronic form during your installation of the Product. Note Regarding Use of Redistributable
Components. You may modify, reproduce
and/or distribute the files listed in the REDIST.TXT file (collectively
referred to as "Redistributable Components") provided that you
comply with the Modification and Distribution Terms listed in such REDIST.TXT
file. 3. UPGRADES.
To use a Product identified as an upgrade, you must first be licensed for the
product identified by Microsoft as eligible for the upgrade. After upgrading,
you may no longer use the product that formed the basis for your upgrade
eligibility. 2. 4. ADDITIONAL
SOFTWARE. This EULA applies to
updates or supplements to the original Product provided by Microsoft, unless
we provide other terms along with the update or supplement. 5. "MULTIPLEXING." Hardware or software that reduces the
number of Devices directly accessing or using the Server Software does not
reduce the number of CALs you need.
The number you need is based on the number of distinct inputs to the
hardware or software "front end." 6. TRANSFER-Internal. You may move the Server Software to a
different Server; provided, however, that if the Server Software components
of the Product are installed in a MultiServer Configuration, you may only
move the Server Software to another Server in the MultiServer
Configuration. You may also make a
one-time transfer of a CAL from one of your Devices to another. Transfer to Third Party. The initial user
of the Product may make a one-time transfer of the Product to another end
user. The transfer has to include all
component parts, media, printed materials, this EULA, and if applicable, the
Certificate of Authenticity. The
transfer may not be an indirect transfer, such as a consignment. Prior to the transfer, the end user
receiving the transferred Product must agree to all the EULA terms. No Rental. You may not rent, lease, lend, or provide commercial hosting
services with the Product. 7. LIMITATION
ON REVERSE ENGINEERING, DECOMPILATION, AND DISASSEMBLY. You may not reverse
engineer, decompile, or disassemble the Product, except and only to the
extent that it is expressly permitted by applicable law notwithstanding this
limitation. 8. TERMINATION.
Without prejudice to any other rights, Microsoft may cancel this EULA if you
do not abide by the terms and conditions of this EULA, in which case you must
destroy all copies of the Product and all of its component parts. 9. CONSENT TO
USE OF DATA. You agree that Microsoft
and its affiliates may collect and use technical information you provide as a
part of support services related to the Product. Microsoft agrees not to use this information in a form that
personally identifies you. 10. NOT FOR RESALE SOFTWARE/DEVELOPER EDITION
SOFTWARE. Product identified as "Not for Resale" or
"NFR," may not be resold, transferred or used for any purpose other
than demonstration, test or evaluation.
Product identified as "Developer Edition" or acquired
through MSDN may only be used according to the terms and conditions of the
MSDN license agreement. 11. ACADEMIC EDITION SOFTWARE. To use Product identified as
"Academic Edition" or "AE," you must be a "Qualified
Educational User." For
qualification-related questions, please contact the Microsoft Sales
Information Center/One Microsoft Way/Redmond, WA 98052-6399 or the Microsoft
subsidiary serving your country. 12. EXPORT RESTRICTIONS. You acknowledge that Product is of U.S.
origin. You agree to comply with all
applicable international and national laws that apply to the Product,
including the U.S. Export Administration Regulations, as well as end-user,
end-use and destination restrictions issued by U.S. and other governments.
For additional information, see <http://www.microsoft.com/exporting/>. 13. LIMITED WARRANTY FOR SOFTWARE PRODUCTS ACQUIRED IN THE
US AND CANADA. Microsoft warrants that the Product will perform
substantially in accordance with the accompanying materials for a period of ninety days from the date of receipt.
If an implied warranty or condition is created by your
state/jurisdiction and federal or state/provincial law prohibits disclaimer
of it, you also have an implied warranty or condition, BUT ONLY AS TO DEFECTS
DISCOVERED DURING THE PERIOD OF THIS LIMITED WARRANTY (NINETY DAYS). AS TO
ANY DEFECTS DISCOVERED AFTER THE NINETY (90) DAY PERIOD, THERE IS NO WARRANTY
OR CONDITION OF ANY KIND. Some
states/jurisdictions do not allow limitations on how long an implied warranty
or condition lasts, so the above limitation may not apply to you. Any supplements or updates to the Product, including
without limitation, any (if any) service packs or hot fixes provided to you
after the expiration of the ninety day Limited Warranty period are not
covered by any warranty or condition, express, implied or statutory. LIMITATION ON REMEDIES; NO CONSEQUENTIAL OR OTHER DAMAGES.
Your exclusive remedy for any breach of this Limited Warranty is as set forth
below. Except for any refund elected
by Microsoft, YOU ARE NOT ENTITLED TO ANY DAMAGES, INCLUDING BUT NOT LIMITED
TO CONSEQUENTIAL DAMAGES, if the Product does not meet Microsoft's Limited
Warranty, and, to the maximum extent allowed by applicable law, even if any
remedy fails of its essential purpose.
The terms of Section 15 below ("Exclusion of Incidental,
Consequential and Certain Other Damages") are also incorporated into this Limited Warranty. Some
states/jurisdictions do not allow the exclusion or limitation of incidental
or consequential damages, so the above limitation or exclusion may not apply
to you. This Limited Warranty gives
you specific legal rights. You may
have others which vary from state/jurisdiction to state/jurisdiction. YOUR
EXCLUSIVE REMEDY. Microsoft's and its
suppliers' entire liability and your exclusive remedy shall be, at
Microsoft's option from time to time exercised subject to applicable law, (a)
return of the price paid (if any) for the Product, or (b) repair or
replacement of the Product, that does not meet this Limited Warranty and that
is returned to Microsoft with a copy of your receipt. You will receive the
remedy elected by Microsoft without charge, except that you are responsible
for any expenses you may incur (e.g. cost of shipping the Product to
Microsoft). This Limited Warranty is
void if failure of the Product has resulted from accident, abuse,
misapplication, abnormal use or a virus. Any replacement Product will be
warranted for the remainder of the original warranty period or thirty (30)
days, whichever is longer. Outside the United States or Canada, neither these
remedies nor any product support services offered by Microsoft are available
without proof of purchase from an authorized international source. To exercise your remedy, contact: Microsoft, Attn. Microsoft Sales
Information Center/One Microsoft Way/Redmond, WA 98052-6399, or the Microsoft
subsidiary serving your country. LIMITED WARRANTY FOR SOFTWARE PRODUCTS ACQUIRED OUTSIDE
THE US AND CANADA. FOR THE LIMITED WARRANTIES AND SPECIAL PROVISIONS
PERTAINING TO YOUR PARTICULAR JURISDICTION, PLEASE REFER TO YOUR WARRANTY
BOOKLET INCLUDED WITH THIS PACKAGE OR PROVIDED WITH THE SOFTWARE PRODUCT
PRINTED MATERIALS. 14. DISCLAIMER
OF WARRANTIES. The Limited Warranty
that appears above is the only express warranty made to you and is provided
in lieu of any other express warranties (if any) created by any documentation
or packaging. Except for the Limited
Warranty and to the maximum extent permitted by applicable law, Microsoft and
its suppliers provide the Product and support services (if any) AS IS AND
WITH ALL FAULTS, and hereby disclaim all other warranties and conditions,
either express, implied or statutory, including, but not limited to, any (if
any) implied warranties, duties or conditions of merchantability, of fitness
for a particular purpose, of accuracy or completeness of responses, of
results, of workmanlike effort, of lack of viruses, and of lack of
negligence, all with regard to the Product, and the provision of or failure
to provide support services. ALSO,
THERE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET
POSSESSION, CORRESPONDENCE TO DESCRIPTION OR NON-INFRINGEMENT WITH REGARD TO
THE PRODUCT. 15. EXCLUSION
OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY
APPLICABLE LAW, IN NO EVENT SHALL MICROSOFT OR ITS SUPPLIERS BE LIABLE FOR
ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER
(INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL
OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR
LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF
REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS
WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY
TO USE THE PRODUCT, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES,
OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS EULA, EVEN IN
THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH
OF CONTRACT OR BREACH OF WARRANTY OF MICROSOFT OR ANY SUPPLIER, AND EVEN IF
MICROSOFT OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES. 16. LIMITATION
OF LIABILITY AND REMEDIES. Notwithstanding any damages that you might incur
for any reason whatsoever (including, without limitation, all damages
referenced above and all direct or general damages), the entire liability of
Microsoft and any of its suppliers under any provision of this EULA and your
exclusive remedy for all of the foregoing (except for any remedy of repair or
replacement elected by Microsoft with respect to any breach of the Limited
Warranty) shall be limited to the greater of the amount actually paid by you
for the Product or U.S.$5.00. The
foregoing limitations, exclusions and disclaimers (including Sections 13, 14
and 15 above) shall apply to the maximum extent permitted by applicable law,
even if any remedy fails its essential purpose. 17. NOTE ON
JAVA SUPPORT. THE PRODUCT MAY CONTAIN SUPPORT FOR PROGRAMS WRITTEN IN JAVA.
JAVA TECHNOLOGY IS NOT FAULT TOLERANT AND IS NOT DESIGNED, MANUFACTURED, OR
INTENDED FOR USE OR RESALE AS ONLINE CONTROL EQUIPMENT IN HAZARDOUS
ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE, SUCH AS IN THE OPERATION OF
NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC
CONTROL, DIRECT LIFE SUPPORT MACHINES, OR WEAPONS SYSTEMS, IN WHICH THE
FAILURE OF JAVA TECHNOLOGY COULD LEAD DIRECTLY TO DEATH, PERSONAL INJURY, OR
SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE.
Sun Microsystems, Inc. has contractually obligated Microsoft to make
this disclaimer. 18. U.S.
GOVERNMENT LICENSE RIGHTS. All Product provided to the U.S. Government
pursuant to solicitations issued on or after December 1, 1995 is provided
with the commercial license rights and restrictions described elsewhere herein. All Product provided to the U.S.
Government pursuant to solicitations issued prior to December 1, 1995 is
provided with "Restricted Rights" as provided for in FAR, 48 CFR
52.227-14 (JUNE 1987) or DFAR, 48 CFR 252.227-7013 (OCT 1988), as applicable.
19. APPLICABLE
LAW. If you acquired this Product in
the United States, this EULA is governed by the laws of the State of
Washington. If you acquired this
Product in Canada, unless expressly prohibited by local law, this EULA is
governed by the laws in force in the Province of Ontario, Canada; and, in
respect of any dispute which may arise hereunder, you consent to the
jurisdiction of the federal and provincial courts sitting in Toronto,
Ontario. If this Product was acquired outside the United States, then local
law may apply. 20. ENTIRE
AGREEMENT. This EULA (including any
addendum or amendment to this EULA which is included with the Product) and
the CAL (if applicable) are the entire agreement between you and Microsoft
relating to the Product and the support services (if any) and they supersede
all prior or contemporaneous oral or written communications, proposals and representations with respect
to the Product or any other subject matter covered by this EULA. To the extent the terms of any Microsoft
policies or programs for support services conflict with the terms of this
EULA, the terms of this EULA shall control. 21. The Product
is protected by copyright and other intellectual property laws and treaties.
Microsoft or its suppliers own the title, copyright, and other intellectual
property rights in the Product. The

QUELQUE NATURE QUE CE SOIT (NOTAMMENT, LES DOMMAGES À L'ÉGARD DU MANQUE À
GAGNER OU DE LA DIVULGATION DE RENSEIGNEMENTS CONFIDENTIELS OU AUTRES, DE LA
PERTE D'EXPLOITATION, DE BLESSURES CORPORELLES, DE LA VIOLATION DE LA VIE
PRIVÉE, DE L'OMISSION DE REMPLIR TOUT DEVOIR, Y COMPRIS D'AGIR DE BONNE FOI
OU D'EXERCER UN SOIN RAISONNABLE, DE LA NÉGLIGENCE ET DE TOUTE AUTRE PERTE
PÉCUNIAIRE OU AUTRE PERTE DE QUELQUE NATURE QUE CE SOIT) SE RAPPORTANT DE
QUELQUE MANIÈRE QUE CE SOIT À L'UTILISATION DU PRODUIT OU À L'INCAPACITÉ DE
S'EN SERVIR, À LA PRESTATION OU À L'OMISSION D'UNE TELLE PRESTATION DE
SERVICES DE SOUTIEN TECHNIQUE OU AUTREMENT AUX TERMES DE TOUTE DISPOSITION DU
PRÉSENT EULA OU RELATIVEMENT À UNE TELLE DISPOSITION, MÊME EN CAS DE FAUTE,
DE DÉLIT CIVIL (Y COMPRIS LA NÉGLIGENCE), DE RESPONSABILITÉ STRICTE, DE
VIOLATION DE CONTRAT OU DE VIOLATION DE GARANTIE DE MICROSOFT OU DE TOUT
FOURNISSEUR ET MÊME SI MICROSOFT OU TOUT FOURNISSEUR A ÉTÉ AVISÉ DE LA
POSSIBILITÉ DE TELS DOMMAGES. LIMITATION DE RESPONSABILITÉ ET RECOURS. Malgré les
dommages que vous puissiez subir pour quelque motif que ce soit (notamment,
tous les dommages susmentionnés et tous les dommages directs ou généraux),
l'obligation intégrale de Microsoft et de l'un ou l'autre de ses fournisseurs
aux termes de toute disposition du présent EULA et votre recours exclusif à
